Terms and Conditions
1.1.1
These terms and conditions, including the payment options and pricing term sheet and privacy policy agreement, apply between the contracting parties.
1.1.2
By accepting the rates, you agree that you have read and understood these terms and conditions, including all policies and pricing terms sheets and agree to be bound by them.
1.1.3
If you do not agree to these terms and conditions, you must cease your use of our services immediately. We reserve the right to amend the terms and conditions at any time and without notice to you. You are advised to regularly check whether these terms and conditions have changed. The most recent version will be available on www.theroyalportfolio.com.
Definitions
1.2
In this agreement, unless clearly inconsistent with or otherwise indicated by the context:
1.2.1
any reference to the singular (including in the expressions defined in 1.2 includes the plural and vice versa, any reference to natural persons includes legal persons (corporate or unincorporated) and vice versa and any reference to a gender includes the other genders;
1.2.2
headings and the use of bold typeface are to be ignored;
1.2.3
references to any enactment/statute shall include references to such enactment/statute as it may, after the signature date, from time to time be amended, supplemented or re-enacted;
1.2.4
any reference to a number of days shall be a reference to calendar days, unless it is specifically stated that such reference is a reference to business days;
1.2.5
when a number of days is prescribed, the days shall be reckoned exclusively of the first day and inclusively of the last day unless the last day falls on a Saturday, Sunday or public holiday in which case the last day shall be the next succeeding business day;
1.2.6
a reference to any agreement or other document (including this agreement) shall include references to such agreements and documents as they may, after the signature date, be amended;
1.2.7
where appropriate, meanings ascribed to defined words and expressions in 1.2 shall impose substantive obligations on the parties;
1.2.8
a reference to a recital, clause, sub-clause, paragraph, sub-paragraph, schedule, appendix, privacy policy, or payment options and pricing is, unless indicated to the contrary, is a reference to a recital, clause, sub- clause, paragraph, sub-paragraph, schedule, appendix, privacy policy or payment options and pricing of and/or affixed to this agreement;
1.2.9
where any term is defined within the context of any particular clause or sub-clause, the term so defined shall, unless it appears clearly from such clause or sub-clause that such term has limited application to the relevant clause or sub-clause only, bears the meaning ascribed to it for all purposes in terms of this agreement, notwithstanding that such term has not been defined in 1.2;
1.2.10
in the interpretation of this agreement shall not be construed in favour of or against any party by reason of the extent to which any party or its professional advisors participated in the preparation of this agreement;
1.2.11
the use of the words "include", "including" and "in particular" in this agreement followed by a specific example or examples shall not be construed or interpreted as limiting the meaning of the general wording preceding it and the eiusdem generis rule shall not be applied in the interpretation of such general wording and/or such specific example or examples and the words "other" or "otherwise" shall not be construed eiusdem generis with any preceding words where a wider construction is possible;
1.2.12
the expiry or termination of this agreement shall not affect such provisions as expressly provide that they will operate after any such expiration or termination or which of necessity must continue to have effect after such expiration or termination, notwithstanding that the clauses themselves do not expressly provide for this.
1.2.13
If any provision is a substantive provision conferring rights or imposing obligations on any party, effect shall be given to it as if it were a substantive clause in the body of this agreement, notwithstanding that it is only contained in the definition clause.
1.2.14
In this agreement, except in a context indicating that some other meaning is intended:
1.2.14.1
“agent” means all persons acting on behalf a guest.
1.2.14.2
“agreement” means this terms and conditions agreement, including the privacy policy and payment options and pricing terms sheet.
1.2.14.3
“check-in” means the date on which the guest arrives at one of the properties.
1.2.14.4
“check-out” means the date on which the guest leaves one of the properties.
1.2.14.5
“contracting parties” mean TRP (the accommodation provider) and the contractual partner (individual guests, tour operators, agents, corporates or private travel groups).
1.2.14.6
“contractual partner” is an individual person or legal body from South Africa or a foreign country who/which enters into this agreement as a guest or as an agent.
1.2.14.7
“Festive Season” means 20 December to 05 January.
1.2.14.8
“guest” means an individual person who makes use of the accommodation of the properties. The guest is usually the contractual partner. A guest is also any person who stays in the properties together with the contractual partner (e.g. member of family, friend, colleague, etc.).
1.2.14.9
“group booking” means a booking for 5 (five) or more rooms at one of the properties.
1.2.14.10
“Peak Season” means:

Royal Malewane : 01 June – 31 August;
1.2.14.10.2
Birkenhead House & private villas : 01 October - 19 December and 06 January – 28/29 February;
1.2.14.10.3
La Residence : 01 October – 19 December and 06 January – 28/29 February;
1.2.14.10.4
The Silo Hotel : 01 March -30 April, 01 October – 19 December and 06 January – 28/29 February.
1.2.14.11
“properties” mean Royal Malewane, Birkenhead House, La Residence, the Silo Hotel and/or private residences marketed as luxury private villas.
1.2.14.12
“TRP” means TRP Capital (Pty) Ltd, which shall include any of its subsidiaries, affiliates and/or its controlling or holding company/ies.
2. Bookings
Bookings will be sent by guest/agent in writing to TRP, containing its name, country of origin, arrival and departure dates, flight details, contact number(s) and any specific requests.
Bookings will not be confirmed until such time as the deposit has been paid in terms of clause 3 (three) below, after which TRP will notify guest/agent in writing of the confirmation.
The following release periods shall be applicable to provisional bookings:
1-14 days – 24 hours
15-60 days – 48 hours
> 60 days – 14 days
Provisional bookings made for Festive Season (20 Dec – 5 Jan) will be held for 7 days
Should TRP receive a secondary enquiry against provisional/unconfirmed bookings, it will endeavour to make contact with guest/agent. A response within 24 (twenty-four) hours will be required from guest/agent, failing which the bookings will be automatically released. If a response is received, the initial enquiry will have 7 (seven) days to make payment of the booking(s) and receive confirmation of booking(s), failing which the booking(s) will be automatically released.
3. Deposits
3.1
Bookings travelling from 6 January – 19 December – All Other Seasons:
- A 25% (twenty-five percent) deposit is due and payable within 14 (fourteen) days from confirmation, with the balance due and payable 60 (sixty) days prior to the arrival.
3.2
Bookings travelling during 20 December – 5 January –Festive Season:
- A (25%) (twenty-five percent) non-refundable and non-transferable deposit is due and payable within 7 (seven) days from confirmation, with the balance due and payable 90 (ninety) days prior to arrival. Failure to make payment by the due date will result in the booking being cancelled and the deposit forfeited.
4. Rates
4.1
TRP reserves its right to publish its rates from time to time and amend published rates without notice to guest/agent and it remains guest’s /agent’s obligation to regularly check whether the rates have changed.
4.2
All rates are quoted in South African Rands.
4.3
TRP will not be liable for any rate fluctuations of third party suppliers whose services TRP books on behalf of guest/agent.
5. Cancellation
5.1
Any cancellation of bookings is subject to the cancellation schedule below. Cancellation includes a date change/name changes or a reduction in number of rooms or nights of a confirmed booking.
5.2
No booking is secure until the deposit is paid and the booking has been confirmed by TRP.
5.3
No refunds will be given by TRP in the event of an early check-out by guest for any reason whatsoever.
5.4
In the event of a no-show of guest, TRP will charge a cancellation fee equivalent to the rate of the confirmed booking for the entire duration of the confirmed booking and any other pre-booked services and/or transfers.
5.5
The conservation and community levies are refundable on cancelled bookings.
5.6
Cancellation schedule:
- 5.6.1 Festive Season (20 December – 5 January):– 25% (twenty-five percent) of the accommodation value for cancellation of confirmed bookings, if booking cancelled up to and including 90 (ninety) days prior to arrival– 100% (one hundred percent) of the accommodation value if booking is cancelled less than 90 (ninety) days prior to arrival
- 5.6.2 All Other Seasons (6 January – 19 December):– Administrative fee equivalent to 5% (five percent) of total accommodation booking value, if cancelled up to and including 120 (hundred and twenty) days prior to arrival– 25% (twenty-five percent) of accommodation value if cancelled less than 120 (one hundred and twenty) & up to and including 60 (sixty) days prior to arrival– 100% (one hundred percent) of accommodation value if cancelled less than 60 (sixty) days or less prior to arrival– 100% (one hundred percent) of accommodation value and pre-booked services and/or transfers for any no shows
6. Minimum Stay
During the Peak and Festive season, TRP will operate a dynamic minimum night stay policy whereby it will seek to accommodate any length of stay provided that the booking does not create an unsellable night.
7. Child Policy
7.1
We accept children over 10 (ten) years old at all our properties.
7.2
Children under the age of 10 (ten) are welcome at:
- The Silo Hotel
- Royal Malewane: Royal Suites & Baobab Suite
- La Residence: Vineyard Suites
- Private Villas: Franschhoek House, Africa House, Farmhouse and Waterside House
- Private Residences
8. Check-in/Check-out times
8.1
Check-in time is at 14h00. Every effort will be made to ensure the room is available upon arrival, however, should guest wish to guarantee availability of the room prior to check-in, it is advisable that an additional night is booked prior to their scheduled arrival.
8.2
Check-out time is at 11h00. A late check-out is subject to availability and can only be confirmed on-site on the day of departure. Should guest wish to guarantee a late check- out, it is advisable that an additional night is booked post their scheduled departure. Should a guest/agent elect to book an additional night under these circumstances, such booking does not entitle the guest/agent to accommodation for the additional night so booked.
9. Travel Insurance, Passport & Visa Requirements
9.1
The guest is obliged to take out travel insurance to cover the financial implications of any cancellation. The guest will bear the sole and absolute responsibility of any costs borne as a result of cancellation. The guest is welcome to use their preferred travel insurance provider, or if they do not have one, they are welcome to contact our reservation department for information on insurers used by guests in the past. TRP’s liability is excluded in relation to any agreement entered into between the guest and the travel insurer. The guest hereby agrees to indemnify and hold harmless TRP, its officers, employees, agents, representatives, subsidiaries, affiliates, controlling or holding companies and insurers, past and present, from any and all claims, liabilities, losses, damages, or expenses arising from or related to the guest’s engagement and/or agreement with the travel insurer, including but not limited to any disputes, claims for compensation, or coverage denials.
9.2
Guests are obliged to ensure that the passport(s) used for travel purposes should have at least 2 (two) blank pages each for entry stamps. The blank pages cannot include the “endorsement” page at the back of the passport book. If you require a visa, you must ensure that your passport has 2 (two) blank facing pages – one for the visa and one for an entry stamp.
9.3
Passports must be valid for at least 30 (thirty) days after the intended date of departure.
9.4
It remains the guest’s sole responsibility to obtain and have available, when necessary, the appropriate valid travel documents and/or visas. Although a South African visa is not required for most nationalities for stays up to 90 (ninety) days for tourism purposes, it remains the guest’s responsibility to ensure compliance with these requirements. We advise you to check with your travel advisor beforehand to ensure compliance with the travel requirements of the South African Department of Home Affairs.
10. 3rd Party Suppliers
10.1
TRP shall not be held responsible for any increases or amendments to rates imposed by third parties. TRP shall notify the guest/agent as soon as it becomes aware of any such increase and will endeavour to maintain the original rates, if possible. However, should TRP be unable to do so, the guest shall remain liable for any increase or amendments to the rates.
10.2
Provisional bookings are determined by 3rd party suppliers. Without payment and confirmation, TRP reserves the right to release these bookings.
11. Refunds
11.1
Any refunds due shall be made in the currency that the guest/agent was invoiced in and the currency received by TRP.
11.2
Cancellations or refundable commercial airline tickets may take up to 6 (six) months to be refunded. Refunds exclude the ticketing fee.
12. Group Bookings
12.1
The booking, deposit, rates and cancellation terms of this agreement only apply to bookings of 4 (four) rooms or less. For group bookings of 5 (five) or more rooms, please contact our reservations department directly for these terms and conditions.
13. Flight and Flight Payments
13.1
All air carriers are independent contractors and not owned by TRP.
13.2
Flight fares are only valid for 24 (twenty-four) hours and TRP shall not be held liable for any increase due to delayed payment(s).
13.3
We shall require copies of all passenger passports as all airlines require full names and surnames as per the passports. Airlines do not accept any changes once a ticket has been issued.
13.4
Should flights need to be amended or cancelled, please speak to our consultant directly for detailed information on the process as different classes or fares booked hold different terms and conditions.
14. Discrimination and Behaviour
14.1
By accepting these terms and conditions you agree to comply with the discrimination policy detailed hereunder.
14.2
TRP expects all persons entering the properties to behave in a responsible and considerate manner at all times towards others and not to cause disruptions.
14.3
Should TRP, in its sole discretion, believe that a guest’s action may or has caused a risk of safety, disruption, annoyance, or any damage to other guest, employees, suppliers or property, TRP reserves the right to immediately require the guest to vacate the property and shall guest be responsible for the repair of any and all damage caused.
14.4
Should TRP require a guest to leave in terms of the above clause, it will not have any further liability to guest and all outstanding fees shall be immediately due and payable and no refunds shall be payable.
15. Force Majeure
15.1
TRP will not be liable for any failure to fulfil its obligations under this agreement if and to the extent such failure is caused by any circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, earthquakes, fire, explosions, floods, hurricanes, extreme weather, riots, wars, (whether declared or not), hostilities, revolutions, civil disturbance or usurped authority, accidents, embargo or requisition, unforeseeable acts (including failure to act) of any governmental authority (de jure or de facto), sabotage, nuclear incidents, epidemics, strikes over which it has no control, theft, interruption or failure in power supply, the downtime of any communications line and/or unavailability of any telecommunications facility or infrastructure, international restrictions, any court order, export control, shortage of transport facilities or the failure of any institution whose consent is required for the performance of any obligation hereunder to provide such consent.
15.2
Relief from liability for non-performance by reason of the provisions of this clause will commence on the date on which TRP gives notice of the impediment relied upon and will terminate upon the date on which such impediment ceases to exist.
16. Personal Information
16.1
In this clause, the terms “personal information”, “processing”, “data subject”, “processing” and “personal data” will have the meanings assigned to them in as defined in applicable law, including the Protection of Personal Information Act, 4 of 2013 and the General Data Protection Regulation (EU) 2016/679 (collectively, “Data Protection Laws”).
16.2
Notwithstanding anything to the contrary, our processing, collection, use, sharing and handling of guest personal information in connection with this agreement is described in our privacy policy.
17. Liability and Indemnity
17.1
Guest bears the sole and absolute responsibility for ensuring it is aware of TRP’s exclusion of liability and indemnity and that guest has the necessary travel documentation and comprehensive travel insurance (including, but not limited to medical and emergency travel expenses). TRP shall not be held responsible for any amendment to scheduled flight timetables, seat assignments, name changes, schedule changes or discontinued flights and all or any additional costs incurred related thereto. Should the guest/agent change or cancel any air transportation arrangements before or after the guest’s travel begins all and any airline changes and all and/or any TRP cancellation and/or amendment fees shall be payable by guest.
17.2
TRP shall not be held responsible should a guest be denied entry to South Africa and/or another country due to non-compliance with South African and/or foreign travel requirements.
17.3
Guest entering the properties and/or using any facilities of the properties and/or participating in activities on the properties do so entirely at his/her own risk. TRP, its officers, employees, agents, representatives, subsidiaries, affiliates, controlling or holding companies and insurers, past and present, shall not be liable or responsible for any personal injury, harm, death, loss of support or any other damages of any nature whatsoever, whether arising from negligence or any other cause whatsoever.
17.4
Without derogating from the generality of the aforegoing, parents and guardians who enter the properties do so on the basis that they assist any child accompanying them, in contracting as aforesaid and, undertake to indemnify, hold harmless and absolve TRP from any and all claims whatsoever that may arise in connection with any personal injury, harm, death, loss of support or damages of any nature whatsoever, whether arising from negligence or any other cause whatsoever, suffered by any such child when entering the properties and/or using any facilities of the properties and/or participating in activities on the properties.
17.5
To the extent permitted by applicable law, TRP will not be liable to guest or any third party for any indirect damages (including consequential, extrinsic, special or incidental loss or damages which will include, but not be limited to, loss of property or loss of profit, business, goodwill, revenue or anticipated savings) or aggravated damages.
17.6
Guest will indemnify, defend, and hold TRP harmless from any and all damages claimed by any third party against TRP relating to or arising from the agreement or provision of the services.
18. Breach
18.1
Should guest/agent fail to comply with any of its obligations or commit a material breach of this agreement and fail to remedy such default or breach within 5 (five) business days after having received written notice to do so, TRP will be entitled to either hold guest/agent to the agreement or cancel the agreement and claim damages.
18.2
TRP will have the right to retain all monies paid by guest/agent pending the determination of such damages and thereafter to set-off the amount retained against the amount owing.
19. General
19.1
This agreement will in all respects be governed by and construed under the laws of the Republic of South Africa and all disputes, actions and other matters relating thereto will be determined in accordance with such law and the courts of the Republic of South Africa shall have exclusive jurisdiction to deal with any dispute arising from or in connection with this agreement.
19.2
Failure to enforce any provision of this agreement will not affect in any way a right to require performance of the provision at any time in the future, nor will the waiver of any subsequent breach nullify the effectiveness of the provision. Guest/Agent shall have no claim or right of action arising from any undertaking, representation or warrant not included in this agreement.
19.3
If any part of this agreement is void, illegal, unenforceable, or in conflict with any law of the state or local government over this agreement, the validity of the remaining portions or provisions shall not be affected thereby.
19.4
By confirming a booking guest/agent adopts, accepts and agrees to be bound by all the provisions contained in this agreement and undertakes to perform all guest/agent obligations in terms of this agreement.
19.5
TRP shall not be regarded as having waived or be precluded in any way from exercising any right under or arising from this Agreement by reason of TRP having at any time granted any extension of time for, or having shown any indulgence to the guest/agent with reference to any payment , accommodation period or performance hereunder, or having failed to enforce, or delayed in the enforcement of any right of action against the guest/agent.
